UNDERTAKING TO INDEMNIFY
The undersigned represents and warrants to Digital Impressions and Stamper
Company (DISC)
that in regards to all optical discs and related materials provided to
DISC for reproduction, the
undersigned has the full and unregulated right to reproduce all of the
contents contained therein
and DISC is hereby authorized to reproduce for and on behalf of the undersigned
all of the
contents of said optical discs and related materials.
The undersigned shall assure and hold DISC harmless in the event of any
violation or evasion
by it or any of its representatives and warranties herein set fourth as
well as from any suits,
disputes, actions, or other legal proceeding initiated by any third parties
in connection with
the reproduction of the contents of the optical discs and related materials
and shall pay any
awards granted against DISC and compensate DISC for all legal fees and
disbursements
incurred in connection therewith.
